Investment : Direct investment in Alpha Business Centre on Top (36th) floor of Burlington Tower (“Property”) at the Business Bay.

Investment Horizon : Five (5) Years

Investment Manager : Alpha Dubai Asset Management, Dubai (“ADAM”)

Investment Company : Alpha Asset Management Ltd, Dubai (“AAML”).

Investment Highlights : Subject to terms of the Offering, prospective investors are invited to subscribe to 22,000,000 ordinary shares in Alpha Asset Management Limited where the sole asset is 9,700 square feet of commercial floor (36th, Top Floor) space in Burlington Tower by Deyaar, to be fitted out and managed as the Alpha Business Centre.

Target Internal Rate of Return : Projected IRR 25% to 35%, depending on exit.

Distributions : Upon Exit

Currency : United Arab Emirate Dirham (AED)

Placement Amount : AED 22,000,000

Minimum Contribution : AED 2,000,000 (USD 535,000)

Launch Date : 15 November 2007

Closing Date : 14 December 2007

Reports : Annually.

Placement Fee : 2% of amount invested payable to the Investment Manager

Promote Fee : If IRR exceeds 10%, there shall be a Promote Fee whereby the Investment Manager shall be entitled to 30% of the excess and the Investor shall be entitled to the balance of 70%

Exit Strategy : To manage the property as business centre on physical completion and subsequently exit at market capitalisation rates by reselling it in 5 years along with 10 other Alpha Branded Business Centres to be operated by ADAM in the Middle East.
